Whalley Computer’s Virtual Technology Makeover
Contest Rules
NO PURCHASE NECESSARY: No purchase is necessary or payment is necessary to enter or win this contest. A purchase of products or services from any of the sponsors will not improve chance of winning. By participating, contestants agree to be bound by these rules and the decisions of the judges which are final in all respects.
VOID WHERE PROHIBITED BY LAW. This contest is void where prohibited by law. This contest is void in those states are expressly forbidden from entering this contest.
ELIGIBILITY: This contest is open to businesses (both for profit and not for profit)
that meets the following criteria:
(a) such business is located in New England.;
(b) such business is legally domiciled in the United States;
(c) such business has more than 30 employees and no less than five (5) servers and
(d) all employees of such business are 18 years of age or older, legal residents of the
United States and are not employees of Whalley Computer Associates (collectively, the
“Sponsors”), any other contest sponsor, advertising and promotion agency, contest prize
supplier, participating advertisers or their respective affiliates, subsidiaries, and successor
companies, and immediate family members of anyone so situated. "Immediate family
members" shall include spouses, siblings, parents, children, grandparents, and
grandchildren, whether as "in-laws", or by current or past marriage, remarriage, adoption,
co-habitation or other familial extension, and any other persons residing at the same
household location, whether or not related.

Contestants will not receive notice of receipt. All contest entries become the property of Whalley Computer Associates. Whalley Computer Associates may use any of the entries for any purpose whatsoever, without further compensation to the contestant, including rights to copy, edit, publish or use any submission in whole or in part.
No submissions will be returned. Incomplete, illegible or late entries will be disqualified. Whalley Computer Associates and the other Sponsors are not responsible for lost, misplaced, illegible, mutilated, or incomplete entry forms, and such entries will be deemed invalid. Contestants that apply via the Internet must accurately complete all required fields or entry will be deemed invalid. Whalley Computer Associates and the other Sponsors shall have no liability for any malfunction of the Internet, Whalley Computer Associates website or any other computer-related processor system.
SELECTION OF WINNERS. The winner will be announced at Whalley Computer Associates on June 12, 2009: WCA will make a “best effort” to inform all applicants of the winner by February 17th via email.
Final award will be judged by a panel of three from Whalley Computer Associates Judged by their need or the benefits that the awarded company will be able to provide to the people they serve.
All decisions of the judges are final. Winning entries will be based on the most compelling argument for why the contestant needs the technology upgrade or the positive impact that the company can provide it’s community with the technology enhancement.
PRIZES. The exact components of the prize package (s) will be detailed once the winners are selected to assure that if can best fit into their current technology. No substitution or cash equivalent will be made. The Sponsors reserve the right to substitute a prize of equal or greater value if the awarded prize is unavailable for any reason. Winning contestants agree to execute an affidavit of eligibility, indemnification and release of liability before any prize is awarded. Failure to execute any of these documents or comply with any of the terms hereof will result in forfeiture of the prize. WCA must deliver and install the equipment at the company or companies to assure that the technology is utilized to fulfill the applicant’s stated needs. The products can not be transferred to another company or to any individual and must be used to meet the needs it was awarded for.
The Prize will consist of one system to include:
- A file server
- A monitor
- A Storage device
- Software
- A Printer
- Free installation services associated with the install of awarded equipment from WCA
Total retail value over $30,000.00. There may be a second award depending on the amount of partner involvement
RESTRICTIONS AND LIMITATION OF LIABILITY.
One entry per company.
One winner per company. All federal, state and local laws and regulations apply. Whalley Computer Associates and the other Sponsors and their subsidiaries and affiliates, their officers, directors, agents, stockholders, insurers, and employees, and their
advertising and promotional agencies assume no responsibility or liability whatsoever for
damages, loss or injury resulting from participating in this contest or acceptance or use of
any prize. In consideration of participation in this contest, and for other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
the contestant, on its own behalf, and on behalf of its successors and assigns, does hereby
COVENANT NOT TO SUE, FULLY RELEASE AND FOREVER DISCHARGE AND HOLD HARMLESS (i) Whalley Computer Associates (ii) EACH OF
THE SPONSORS SET FORTH ABOVE, and each of their respective direct and indirect
subsidiaries, affiliates, partners and related entities, (iii) each of their respective directors,
officers, employees, agents, insurers, attorneys, shareholders and representatives, and (iv) each predecessor, successor, and assign thereof, from and against any and all actions,
charges, claims, losses, costs, damages, expenses (including attorneys' fees and expenses)
and liabilities of any kind or character, whether known or unknown, in connection with,
arising out of or in any way related to contestant's participation in this contest.
All federal, state and local taxes (including any sales taxes) are the sole responsibility of
the winner. Prior to the delivery of any prize, Whalley Computer Associates reserves
the right to collect from the winner any taxes it deems appropriate. Any contestant
winning over $600 in prizes during any one year period may receive an IRS form 1099 at
the end of the calendar year, and a copy of such form will be filed with the IRS. Any
additional costs relating to the prizes, and incurred as a result of accepting the prizes, is
the sole responsibility of the winner. Whalley Computer Associates reserves to right to
disqualify any contestant for failure to adhere to the rules of this contest.
PUBLICITY RELEASE. Unless prohibited by law, participation constitutes permission for Whalley Computer Associates and the other Sponsors, without any further obligation to the contestant, to use participant's name and entry submission and business description for promotional purposes without further compensation. Such publicity shall include but not be limited to participation in a “before and after” video and references to winner in Whalley Computer Associates marketing materials.
